Partner Agreement

1. Parties

This Partner Agreement is between Tendly ("Tendly") and the person or entity ("Partner") who applied to, and was approved for, the Tendly Partner Program.

2. Relationship

Partner is an independent contractor. This is not an employment, agency, partnership, joint venture, or franchise relationship. Partner is solely responsible for their own taxes, insurance, and business expenses. For US tax purposes Partner is treated as a 1099 contractor; Tendly will issue Form 1099-NEC where annual payments exceed the IRS reporting threshold.

3. Commission rates

Commission rates are determined by Partner's tier:

  • Referral: 15% of customer setup fee + 5% of monthly subscription for 12 months.
  • Sales: 30% setup + 15% recurring (12 months).
  • Certified: 35% setup + 20% recurring (12 months).
  • Team leader override:7.5% of downline partner's setup commission + 4% of downline's recurring commission. One level deep — no multi-level downlines.

Tendly may adjust rates with 30 days' written notice. Rate adjustments apply only to new commissions earned after the effective date.

4. When commission is earned

  • Commission is earned when the referred customer pays a Stripe invoice that Tendly successfully receives.
  • Commission moves to APPROVED after Tendly super-admin review (typically within 7 business days).
  • Commission is PAIDon Tendly's monthly payout schedule via Stripe Connect transfer (where Partner has completed Connect onboarding) or via manual ACH/check (CSV- export rail) otherwise.

5. Clawback

Tendly may claw back commission within 60 days of the underlying customer payment if the customer refunds, cancels, or is found in violation of the Acceptable Use Policy. Outside the 60-day window, commission stands.

6. Lead ownership

  • The first Partner to submit a valid business lead via the Partner Portal owns that lead for 60 days, provided the business was not already in Tendly's CRM.
  • Duplicate-lead priority order: (1) existing Tendly CRM owner; (2) first valid Partner submission; (3) Partner with proof of warm introduction; (4) Tendly super-admin decision if disputed.
  • If the lead does not respond, book a call, or move forward within the 60-day window, Tendly may reopen or reassign the lead.

7. Marketing + IP

  • Partner may use Tendly's name and logo in marketing, consistent with the brand guidelines.
  • Partner may not white-label, rebrand, or claim ownership of the Tendly Service. Co-branded or white-label arrangements require a separate written agreement.
  • Partner-produced sales content (decks, scripts, videos) is Partner's property, subject to Tendly's right to require corrections for accuracy or compliance.

8. Prohibited conduct

  • No guaranteed-income claims to recruits or to customers.
  • No spam, purchased lists, or impersonation in outreach.
  • No paid-to-join or pyramid schemes.

9. Termination

Either party may terminate this agreement on 30 days' written notice. Tendly may terminate immediately for breach. On termination:

  • Commission already earned through the termination date is paid out on the next scheduled cycle.
  • Future recurring commissions on existing referred customers continue for the remainder of the 12-month window UNLESS termination is for cause, in which case future commissions are forfeit.
  • Partner's referral link and portal access are deactivated.

10. Confidentiality

Partner may receive non-public information about Tendly's product roadmap, pricing, and customer pipeline. Partner agrees not to disclose this information except as needed to perform Partner duties and to Partner's own tax/legal advisors.

11. Limitation of liability

Tendly's liability under this agreement is capped at the commission earned by Partner in the 12 months preceding the claim. Tendly is not liable for Partner's lost profits, lost business opportunities, or any indirect damages.

12. Governing law + disputes

Delaware law governs. Disputes go to binding arbitration in Wilmington, Delaware under JAMS Streamlined Rules.

13. Entire agreement

This agreement, the Terms of Service, the Acceptable Use Policy, and the Privacy Policy together form the entire agreement between Partner and Tendly.
